Terms of business (companies and professionals)

These terms apply to every service sold through this site or by quote: mentoring sessions, event organisation, sponsorship programmes, workshops, talks, consulting and community programmes. A signed quote or order prevails over them where it differs. The client's own terms of purchase apply only if we accept them in writing.

Version of October 8, 2026.

  1. Seller. SPNEXT SARL, Paris (RCS Paris 802 241 786), the company named under “Site publisher and seller” above; email: [email protected].
  2. Professional clients only. Services are sold only to businesses and professionals (companies, sole traders, public bodies and organisations) acting for the purposes of their trade, business or profession. By requesting a quote or ordering, the client confirms that it acts in that capacity and that the person ordering is authorised to commit it. We do not contract with consumers.
  3. Quotes and orders. Every engagement starts with a written quote or order stating the scope, schedule, price excl. VAT and payment terms. A quote is valid for 30 days unless it states otherwise. The contract is formed when the client accepts it in writing (signature, purchase order or email). As both parties are professionals, the formalities of consumer online orders do not apply.
  4. Prices. In euros, excl. VAT. The mentoring prices shown on this site are fixed; other prices are “from” prices, and the price that applies is the one in the quote. VAT at 20% is added for clients in France. Business clients in other EU countries: reverse charge, with your VAT number. Outside the EU: VAT treatment stated on the invoice. No discount for early payment.
  5. Mentoring sessions. Ordered by a company for one of its people, or by a professional for their own business. Once the order is accepted and invoiced, we send a private link to choose the time. The 4 calls of the 3-month programme are to be used within 3 months of the order; calls not used by then lapse, unless the delay is ours.
  6. Invoicing and payment. By invoice only, paid by bank transfer; no card or online payment. Invoices are payable within 30 days of the invoice date, unless the quote states a shorter term. If you use purchase-order numbers, give yours so that it appears on the invoice.
  7. Deposits. Projects and events require a deposit (acompte) of 30–50% of the price on signature, invoiced when the quote is signed and deducted from the final invoice.
  8. Late payment. Any sum unpaid by the due date bears late-payment penalties from the next day, without any reminder, at the European Central Bank's main refinancing rate plus 10 percentage points (never less than three times the French legal interest rate), plus a flat €40 indemnity for recovery costs per invoice (French Commercial Code, art. L441-10 and D441-5). Where recovery costs exceed €40, further compensation may be claimed on proof.
  9. Rescheduling sessions. Free of charge up to 48 hours before the session, by replying to the invitation or by email. Later than that, or if nobody attends, the session counts as used. If we have to cancel or move a session, the client chooses a new time free of charge or is refunded for that session.
  10. Cancelling a project or an event. The client may cancel in writing at any time. The work already done and the costs already committed up to the cancellation (for example venue, travel or subcontractors) are then invoiced, less the deposit already paid; any part of the deposit above those amounts is refunded. If we cancel, everything paid for work not done is refunded.
  11. Retainers. Monthly retainers run for the minimum term stated in the quote, then continue from month to month. Either party may end them in writing with at least one month's notice, plus one month per full year of the relationship.
  12. Prepaid hours and audits. Prepaid advisory hours are valid 12 months from the invoice date. The price of an event or community audit is credited against a project signed within 60 days of the audit's delivery.
  13. Liability. Mentoring, advice and training are obligations of means: we bring our best efforts, and the client remains responsible for its decisions and their results. Our total liability for an engagement is limited to the price excl. VAT paid for it, and indirect losses (such as loss of profit, turnover, data or reputation) are excluded. These limits do not apply in case of wilful misconduct, gross negligence, death or bodily injury, or where the law does not allow them.
  14. Intellectual property. Our pre-existing methods, templates, know-how and materials remain ours. Once paid in full, the deliverables made for the client (reports, plans, checklists, session recordings, slides) are licensed to it, non-exclusively, for its internal use, worldwide and for the legal duration of the rights; any other use (resale, publication) needs our written agreement. A session is recorded only when the offer includes it and every participant agrees.
  15. Confidentiality and references. Each party keeps confidential the non-public information the other shares for the engagement, during the engagement and for 3 years after it. We name a client as a reference only with its written consent.
  16. Personal data. Each party complies with the GDPR. Where we process personal data on the client's behalf, a data processing agreement (GDPR art. 28) is signed first. How this site handles personal data is explained under “Privacy” below.
  17. Electronic invoicing. Invoices follow the French e-invoicing reform: clients established in France should give their SIREN, which must appear on invoices, and will receive electronic invoices through an approved platform as the reform requires (from 1 September 2027 at the latest for small companies). Clients outside France receive their invoice by email.
  18. Governing law and courts. French law applies. Disputes are brought before the courts of Paris, which have exclusive jurisdiction where the client is a merchant (commerçant) or is established outside France; otherwise, the court designated by law has jurisdiction.
  19. Languages. These terms are available in English, French and Arabic. In case of difference, the French version prevails.

Privacy

Data controller: SPNEXT SARL, the company named under “Site publisher and seller” above, 32 boulevard de Strasbourg, CS 30108, 75010 Paris, France; contact: [email protected]. No data protection officer has been appointed: write to [email protected] about your data. This site collects as little personal data as possible: no analytics, no advertising. Its only form, the quote request, sends your request by email and stores nothing on the site.

Cookies

Cookie information, updated October 8, 2026. No analytics, advertising or tracking cookies. The only cookie this site may set is NEXT_LOCALE, which remembers the language you chose; it is strictly necessary, needs no consent and expires when you close your browser. No third-party cookie is set unless you choose to show the Calendly booking calendar (see below).

Booking with Calendly

The booking calendar for the free discovery call is provided by Calendly LLC (USA) and loads only when you click “Show available times”. That click loads Calendly's scripts, which set Calendly's own cookies (to run the booking, for security and, according to Calendly, for analytics); by clicking you agree to this, and Calendly is responsible for those cookies as a separate controller, under its own notices. The details you enter when booking (name, email, company, VAT or registration number, billing email, role and your answers) are used by SPNEXT SARL to hold the call or session and to prepare quotes and invoices: steps taken at your company's request before a contract, the contract itself, and our legitimate interest in answering business enquiries. Calendly processes them on behalf of SPNEXT SARL in the USA, under the EU-US Data Privacy Framework, with standard contractual clauses as a fallback. They are kept for as long as the call or session and its follow-up require, then deleted; invoices are kept for 10 years, as accounting and tax law requires.

Clients and invoices

The contact and billing details of our clients (company, contact person, billing email, VAT or registration number, address) are used to perform the contract and to invoice it. Invoices are kept for 10 years, as accounting and tax law requires (legal obligation).

Messages you send

If you write to me by email or on LinkedIn, I use your message only to reply and to follow up on our conversation (legitimate interest in answering business enquiries, GDPR art. 6(1)(f)). I do not sell or share it.

Quote request form

When you send the quote request form on the contact page, SPNEXT SARL receives your request by email. In practice:

  • What: the need you choose (and the session, for mentoring), your name, work email, company name, VAT or registration number, billing email, country, date or period, size, budget range, your message, and your statement that you act for a company or your professional activity. Fields marked * are needed to prepare a quote: without them, we cannot answer the request.
  • Why and on what basis: to answer your request and prepare a quote. For a person writing on behalf of a company, the basis is our legitimate interest in answering business enquiries (GDPR art. 6(1)(f)); for a professional requesting a quote for their own business, steps taken at their request before a contract (art. 6(1)(b)). Nothing is used for marketing, and no automated decision is made.
  • How and who: the site sends it in a single email through Microsoft 365 (Microsoft Graph) to [email protected]; Microsoft Ireland Operations Limited acts as processor. The site itself stores nothing: no database, no copy, no log of its content. Your IP address stays in the server's memory for up to one hour to limit abuse, then it is forgotten.
  • How long: up to 12 months in the mailbox after our last exchange, then deleted, unless the request leads to a contract (accounting rules then apply to the contract documents).
  • Objection and deletion: you can object to this use at any time, or have your request deleted sooner, by writing to [email protected].

Server logs

Like any website, the host may keep technical logs (IP address, date, page requested) for security and to keep the site running (legitimate interest, GDPR art. 6(1)(f)).

Your rights

Under the GDPR, you can ask to access, correct or delete your personal data, to restrict its use or receive it in a portable format, or object to its use, by writing to [email protected]. You can also lodge a complaint with the CNIL, the French data protection authority (www.cnil.fr/fr/plaintes), or with the data protection authority of the EU country where you live or work.
